| Zee Entertainment Enterprises Ltd has informed BSE that the Hon'ble Bombay High Court's has vide its Order dated March 19, 2010 approved the Scheme of Arrangement between the Company, Zee News Ltd. and their respective Shareholders and Creditors, for demerger of the Regional General Entertainment Channel Business Undertaking of Zee News Ltd. and transfer / vesting of the said undertaking in favor of the Company with effect from January 01, 2010 (Appointed Date). Further the Company has informed that, the aforesaid Scheme of Arrangement has become effective on March 29, 2010, upon filing of the said order of Hon'ble Bombay High Court with the Registrar of Companies, Maharashtra, Mumbai. |

Zee Entert - Equity Shareholders to approve Scheme of Arrangement Announcement: Zee Entertainment Enterprises Ltd has informed BSE that pursuant by an Order made on the March 12, 2010, the Hon'ble High Court of Judicature at Bombay has directed that a meeting of the Equity Shareholders of Zee Entertainment Enterprises Ltd, the Applicant Company, will be held on April 20, 2010., for the purpose of considering and, if thought fit, approving, with or without modification(s), the proposed arrangement embodied in the Composite Scheme of Amalgamation and Arrangement between ETC Networks Ltd., Zee Entertainment Enterprises Ltd., Zee Learn Ltd. and their respective Shareholders and Creditors.
Zee News - Updates on Scheme of Arrangement Announcement: Zee News Ltd has informed BSE that the Hon'ble High Court of Bombay has, at the hearing held on March 19, 2010, approved the Scheme of Arrangement between Zee Entertainment Enteprises Ltd, Zee News Ltd and their respective shareholders, for the proposed De-merger of Regional General Entertainment Channel Business Undertaking of Zee News Ltd and transfer / vesting of the said undertaking to Zee Entertainment Enterprises Ltd with effect from January 01, 2010 (Appointed Date). Upon receipt of the copy of said Order, the Company shall fix the Record Date to determine the eligibility of shareholders of the Company who would be issued Equity Shares of Zee Entertainment Enterprises Ltd.
In connection with Demerger of Education Business into Zee Learn Ltd., the Board noted that a) the Appointed date for the said Demerger would be April 01, 2010; and b) based on the desired capital structure of the resulting entity, as a consideration for demerger, the Scheme provides for the share entitlement ratio of 1 (One) Equity Share of Rupee 1/- each of Zee Learn Ltd. for every 4 (Four) Equity Shares of Rupee 1/- each held in ZEEL (including the shareholders of the Company who would be allotted equity shares by ZEEL pursuant to merger of the Company with ZEEL) as on the record date. The Scheme of Arrangement shall be subject to approval of the shareholders / creditors of the respective companies, the Hon'ble High Court of Bombay and other statutory / regulatory authorities.

Delhi, India; October 29, 2009 – The Board of Directors of Zee News Limited (ZNL) (BSE: 532794, NSE: ZEENEWS) in its meeting today approved the proposed share swap ratio by Zee Entertainment Enterprises Limited (ZEEL) for the de-merger of ZNL’s regional entertainment business (R-GEC) to ZEEL. The proposed de-merger would be funded by issuance of new shares by ZEEL to shareholders of ZNL and the share swap ratio has been proposed at 4 equity shares of Rupee 1/- each of ZEEL for 19 equity shares of Rupee 1/- each held in ZNL, as a consideration for the de-merger of the R-GEC business undertaking.
